Effective Date: March 2, 2026

This Seller Agreement (“Agreement”) is entered into between Amas Don International, operating as Amas Don (“Operator”, “Marketplace”, “we”), and the registered seller entity or individual (“Seller”).

By registering, listing products, or conducting transactions on the Marketplace, the Seller agrees to be legally bound by this Agreement.

1. MARKETPLACE STATUS

1.1 Amas Don operates solely as an online intermediary platform.

1.2 The Operator is not the seller, distributor, manufacturer, or importer of the Products listed by the Seller.

1.3 Each Transaction forms a direct contractual relationship between the Seller and the Buyer.

1.4 The Operator assumes no responsibility for product quality, safety, regulatory compliance, or fulfillment performance.

2. SELLER REGISTRATION & VERIFICATION

2.1 Seller must provide accurate business information including:

• Legal entity name

• Registration number

• VAT number (if applicable)

• Registered address

• Bank account (IBAN)

• Authorized representative

2.2 The Operator may conduct KYC, AML, and sanctions screening.

2.3 The Operator may suspend or refuse registration at its sole discretion.

2.4 The Seller authorizes verification with governmental, financial, or compliance databases.

3. PRODUCT LISTINGS & CONTENT

3.1 Seller warrants that all product information is:

• Accurate

• Not misleading

• Up-to-date

• Legally compliant

3.2 Seller grants Operator a non-exclusive, worldwide, royalty-free license to use product content for marketplace promotion.

3.3 Seller represents that all content does not infringe third-party intellectual property.

3.4 The Operator may remove listings without prior notice.

4. LEGAL & REGULATORY COMPLIANCE

4.1 Seller is solely responsible for compliance with:

• EU product safety regulations

• CE marking requirements

• REACH / RoHS / EMC directives

• Consumer protection laws

• VAT obligations

• Customs & export regulations

4.2 Seller must provide documentation upon request within 5 business days.

4.3 Failure to provide documentation may result in immediate suspension.

5. PROHIBITED PRODUCTS

Seller may not list:

• Illegal goods

• Counterfeit products

• Controlled substances

• Weapons (unless legally authorized and pre-approved)

• Prescription medicines

• Hazardous materials

• Pornographic materials

• Live animals

• Products violating sanctions laws

Operator may update prohibited categories at any time.

6. PRICING & FEES

6.1 Seller agrees to pay:

• Commission fees

• Listing fees

• Advertising fees

• Subscription fees

• Payment processing fees

6.2 Fees are non-refundable unless explicitly stated.

6.3 Operator may modify fee structure with notice.

6.4 Seller authorizes automatic deduction of fees from payouts.

7. PAYOUTS & RESERVE

7.1 Payouts are made to Seller’s registered bank account.

7.2 Operator may establish a rolling reserve to cover:

• Chargebacks

• Refund claims

• Fraud risk

• Regulatory risk

7.3 Funds may be withheld during investigations.

7.4 Operator may offset debts owed by Seller against payouts.

8. ORDER FULFILLMENT & PERFORMANCE METRICS

8.1 Seller must:

• Ship within declared timeframe

• Maintain accurate stock levels

• Provide valid tracking numbers

8.2 Operator may establish performance thresholds including:

• Maximum cancellation rate

• Maximum return rate

• Minimum response time

• Minimum rating score

8.3 Failure to meet performance standards may result in suspension.

9. RETURNS & DISPUTES

9.1 Seller must comply with EU 14-day withdrawal rights.

9.2 Seller bears cost of returns for defective or misdescribed products.

9.3 Seller must respond to complaints within 48 hours.

9.4 Operator may mediate disputes and issue binding resolutions where policy violations are established.

10. CHARGEBACKS & FRAUD

10.1 Seller bears financial liability for chargebacks.

10.2 Operator may deduct chargeback amounts plus administrative fees.

10.3 Suspicious activity may result in payout freeze.

11. SANCTIONS & EXPORT COMPLIANCE

11.1 Seller warrants that it is not subject to EU, UN, OFAC, or other sanctions.

11.2 Seller shall not sell or ship products to restricted jurisdictions as defined in Marketplace Terms.

11.3 Operator may block transactions violating sanctions compliance.

12. INSURANCE REQUIREMENT

Seller may be required to maintain product liability insurance.

Upon request, Seller must provide proof of valid coverage.

13. DATA PROTECTION

13.1 Seller acts as independent data controller for order fulfillment data.

13.2 Seller must comply with GDPR.

13.3 Buyer data may not be used for marketing outside the Marketplace.

14. NON-CIRCUMVENTION

Seller may not:

• Redirect Buyers off-platform

• Include promotional inserts encouraging off-platform sales

• Share contact details for direct future sales

Violation may result in permanent termination.

15. CONFIDENTIALITY

Seller agrees to maintain confidentiality of:

• Platform systems

• Fee structures

• Internal processes

• Dispute outcomes

16. INDEMNIFICATION

Seller agrees to fully indemnify and hold harmless Amas Don from:

• Product liability claims

• Regulatory fines

• IP infringement claims

• Consumer protection violations

• Sanctions breaches

Indemnification includes legal costs.

17. LIMITATION OF OPERATOR LIABILITY

To the maximum extent permitted by law:

Operator liability shall not exceed the total fees paid by Seller in the preceding 12 months.

Operator shall not be liable for:

• Loss of profits

• Business interruption

• Indirect or consequential damages

18. SUSPENSION & TERMINATION

Operator may suspend or terminate Seller for:

• Fraud

• Legal violations

• Repeated performance failure

• High return rate

• Consumer harm risk

Outstanding obligations survive termination.

19. FORCE MAJEURE

Operator is not liable for events beyond reasonable control.

20. AMENDMENTS

Operator may modify this Agreement with prior notice.

Continued use constitutes acceptance.

21. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of the Republic of Croatia.

Disputes shall be resolved in Osijek, Croatia, unless mandatory law provides otherwise.

22. SURVIVAL

The following survive termination:

• Indemnification

• Liability limitations

• Confidentiality

• Sanctions compliance

• Payment obligations

ACCEPTANCE

By listing products or conducting transactions, Seller confirms acceptance of this Agreement.
