SELLER COOPERATION AGREEMENT (Sales and Distribution Relationship on the Online Marketplace)
This Seller Cooperation Agreement (“Agreement”) is made between Amas Don (“Marketplace Operator”) and the registered seller (“Seller”). By confirming registration, listing products, or using the Marketplace, the Seller accepts all terms of this Agreement.
DEFINITIONS
1.1. “Marketplace” means the Amas Don digital platform facilitating sales between Sellers and Buyers. 1.2. “Seller” is a natural or legal person authorized to access the platform for advertising and selling products. 1.3. “Buyer” is a person who orders or purchases products through the Marketplace. 1.4. “Product” refers to any item, digital or physical, offered by the Seller. 1.5. “Seller Account” means the authorized profile of the Seller on the Marketplace. 1.6. “Transaction” means any sale made through the Marketplace.
SELLER REGISTRATION AND VERIFICATION
2.1. The Seller agrees to provide accurate and verifiable information regarding identity, business details, contact information, bank accounts, and tax status. 2.2. The Operator may require:
copies of documents (ID card, company registry excerpt, trade license),
tax registration certificates,
IBAN and proof of account ownership,
additional KYC/AML verification. 2.3. The Operator has the right to reject or suspend the Seller’s account without obligation to provide reasoning, especially in cases of suspected fraud or violation of regulations.
GENERAL OBLIGATIONS OF THE SELLER
The Seller agrees that: 3.1. all listed product information is accurate, including images, descriptions, specifications, variations, prices, and stock levels. 3.2. false, unverified, or misleading information must not be published. 3.3. they will maintain an adequate level of communication with Buyers and Marketplace support. 3.4. all products will be packaged and shipped in accordance with professional standards. 3.5. they assume full responsibility for the products, including safety, compliance, and legality.
PRODUCT QUALITY AND LEGAL COMPLIANCE
4.1. Products must be new, functional, and safely manufactured. 4.2. The Seller guarantees that CE, RoHS, EMC, GMO, cosmetic certificates, and other required documents are valid and available upon request. 4.3. It is prohibited to sell products:
without necessary approvals,
past expiration date,
with unknown origin,
that infringe copyrights, trademarks, or patents. 4.4. The Operator may temporarily remove products until the required documentation is provided.
PRICING, FEES, AND PAYMENT TERMS
5.1. The Operator may charge:
sales commission,
advertising fees,
featured product placement fees,
optional services (storage, fulfillment, marketing). 5.2. All fees are listed in the official Price List, which may be updated. 5.3. Payments to the Seller are made to the registered bank account at predetermined intervals (e.g., weekly, biweekly, monthly). 5.4. The Operator may withhold funds in an escrow system in cases of:
disputes,
buyer complaints,
suspected fraud,
high return rates.
SHIPPING, LOGISTICS AND ORDER FULFILLMENT
6.1. The Seller must ship the order within the defined timeframe. 6.2. If the Seller cannot fulfill an order, they must immediately notify the Operator and the Buyer. 6.3. Delivery delays may result in penalties, suspension, or loss of privileges. 6.4. The Seller is responsible for:
damage caused by poor packaging,
incorrect address labeling,
delivery errors.
RETURNS, CLAIMS, AND DISPUTE RESOLUTION
7.1. The Seller must provide warranty and return rights in accordance with EU consumer protection directives. 7.2. The Seller bears the cost of returns if:
the wrong product was sent,
the product does not match the description,
the product is defective. 7.3. The Seller must respond to a complaint within 48 hours. 7.4. The Operator may mediate disputes and make a binding decision in favor of the Buyer if rule violations are proven.
PROHIBITED PRODUCTS
It is prohibited to sell:
illegal products,
weapons and ammunition (except legally permitted categories),
prescription medicines,
hazardous chemicals,
pornography,
live animals,
counterfeit goods, replicas, or copy-brands.
The Operator may modify the list of prohibited goods at any time.
INTELLECTUAL PROPERTY RIGHTS
9.1. The Seller guarantees ownership of all images, descriptions, logos, and marketing materials provided. 9.2. The Seller grants the Operator a license to use the content solely for promotional purposes on the Marketplace. 9.3. Using third-party images without permission is prohibited.
LIABILITY, INDEMNIFICATION AND LIMITATIONS
10.1. The Seller assumes full responsibility for all products sold. 10.2. The Seller agrees to indemnify the Operator in cases of:
injury-related claims,
regulatory violations,
infringements of third-party rights,
fines related to products. 10.3. The Operator is not liable for:
Seller’s loss of revenue,
business damages,
delays caused by delivery services.
CODE OF CONDUCT
The Seller agrees:
not to communicate rudely with Buyers,
not to attempt to redirect Buyers outside the marketplace,
not to manipulate ratings, reviews, or performance metrics.
Violation of these rules may result in permanent account termination.
DATA PROTECTION (GDPR)
12.1. The Seller must protect all Buyer personal data in accordance with GDPR. 12.2. It is prohibited to:
store data longer than necessary,
share data with third parties,
contact Buyers outside the scope of an order.
TERMINATION AND ACCOUNT SUSPENSION
13.1. The Operator may immediately suspend the Seller for:
fraud,
high return rates,
violation of law,
selling prohibited products. 13.2. The Seller may request termination with 14 days’ written notice. 13.3. All outstanding obligations must be settled prior to termination.
GOVERNING LAW
This Agreement is governed by the laws of the Republic of Croatia and EU regulations.
ACCEPTANCE
By using the platform, the Seller confirms acceptance of all terms of this Agreement.
